Boram Care – Client Terms of Service

These Terms of Service (“Terms”) govern your use of the Boram Care platform (“Platform”). By creating an account, booking services, or otherwise using the Platform, you agree to be bound by these Terms. If you do not agree, do not use the Platform.
1. About Boram Care
Boram Care is a technology platform that connects families seeking postpartum and newborn care with qualified independent care professionals. Boram Care is a marketplace and administrative facilitator: it does not employ Care Professionals, direct or supervise their services, or itself provide care.
Boram Care provides Clients access to:
- Matching with screened Care Professionals
- Payment processing
- Administrative and platform support
2. Definitions
Platform: The Boram Care technology platform through which Clients and Care Professionals are connected.
Care Professional (CP): A credentialed postpartum or newborn care professional who has completed Boram Care’s screening and background check process and provides services as an independent contractor.
Client: A family seeking postpartum or newborn care support through the Platform.
Care Agreement: An agreement between a Client and Care Professional through the Platform governing the terms of a care engagement, including schedule, scope, compensation, and the cancellation policy in Section 8.
Session: A scheduled period during which a Care Professional provides services to a Client.
Rescheduling: The mutual agreement between a Client and Care Professional to move a scheduled Session to a different date or time within the contract period. A rescheduled Session is not a cancellation and does not count toward either party’s cancellation limits.
Late Cancellation: Any Client cancellation or no-show within 48 hours of a scheduled Session.
Deposit: A flat fee of $250 paid before matching begins. If a Care Agreement is signed, the Deposit is applied toward the Retainer. The Deposit is non-refundable once a Care Agreement is signed.
Retainer: An amount equal to 20% of the estimated total Care Agreement value, less the $250 Deposit, held by Boram Care in a designated account upon signing. Minimum $250; maximum $5,000. Returned in full to the Client upon successful completion of the Care Agreement.
Matching Fee: The $250 Deposit retained by Boram Care as compensation for matching services in any scenario where a Care Agreement is signed and subsequently cancelled.
3. Platform Role and Limitations
Care Professionals are independent contractors, not employees or agents of Boram Care. Boram Care functions solely as a technology platform and administrative facilitator. Specifically:
Boram Care does not direct, supervise, or control the manner or method by which Care Professionals perform their services.
Care Professionals independently determine how they deliver care within the scope of the Care Agreement.
Care Professionals set their own rates and negotiate their own terms of engagement directly with Clients through the Platform.
Care Professionals are free to provide services to other clients and platforms simultaneously and are not subject to any exclusivity requirement.
Boram Care does not guarantee the availability of any specific Care Professional or any particular care outcome.
Boram Care does not provide Care Professionals with tools, equipment, or materials necessary to perform their services.
By booking through the Platform, you acknowledge that you are entering a direct service relationship with an independent Care Professional, that Boram Care is not a party to that relationship, and that Boram Care bears no responsibility for the acts, omissions, quality, or outcome of services provided.
4. Screening and Background Checks
Boram Care conducts background checks on all Care Professionals as part of its onboarding process in compliance with the Fair Credit Reporting Act (FCRA) and applicable state law. These checks are intended to support a reasonable screening process and are subject to the limitations of available records at the time of screening.
You acknowledge that background checks do not guarantee the future conduct of any Care Professional. Boram Care’s liability with respect to screening is limited to the standard of care described in this Section.
5. Account Eligibility and Responsibility
You must be at least 18 years of age and legally capable of entering a binding agreement. You agree to provide accurate information when creating your account and are responsible for all activity under your account. You may not share or transfer your account.
6. Matching and Care Agreements
6.1 Matching Process
A $250 Deposit is required to begin matching. If no suitable match is found, the Deposit is refunded less payment processing fees. If you accept a match but do not sign a Care Agreement, the Deposit is forfeited.
6.2 Care Agreement
Once you select a Care Professional, you will execute a Care Agreement through the Platform covering the scope of services, session schedule, rates, estimated total contract value, Retainer amount, and the cancellation policy in Section 8. By confirming a Care Agreement, you agree to its terms.
6.3 Add-On Services
Additional services such as meal preparation or light household cleaning may be added by mutual agreement and must be documented in the Care Agreement.
7. Privacy and Data
Boram Care’s collection and use of your personal information is governed by the Privacy Policy at https://boramcare.com/privacy-policy/, incorporated into these Terms by reference. By using the Platform, you agree to the Privacy Policy.
The Platform is not a HIPAA-covered service. Do not submit protected health information through the Platform. Care preferences shared through the Platform are used solely to facilitate matching and are subject to the Privacy Policy.
8. Cancellation Policy
The following cancellation terms apply to all executed Care Agreements. They take effect upon signing and govern any cancellation or termination by either party from that point forward.
8.1 Client-Initiated Cancellation Before Start Date
- 30 or more days before the start date: Retainer refunded less processing fees and the $250 Deposit.
- Fewer than 30 days before the start date: Retainer is non-refundable.
8.2 Client-Initiated Cancellation Mid-Contract
If the Client cancels after the contract has begun, the Retainer is drawn against the value of sessions not yet delivered due to Client cancellation. The Retainer is the maximum amount the Client owes in this scenario. The remainder is returned to the Client. The same calculation applies at contract end for any sessions cancelled by the Client without rescheduling over the course of the engagement.
8.3 Care Professional-Initiated Cancellation Before Start Date
If a Care Professional cancels before the start date, the Client will be offered a replacement at no cost. If the Client accepts the replacement, the Retainer is applied to the new engagement. If the Client declines, the Retainer is returned in full.
8.4 Care Professional-Initiated Cancellation Mid-Contract
If a Care Professional cancels after the contract has begun, the Retainer is returned to the Client less any amounts due for Sessions already delivered.
8.5 Individual Session Cancellations and Rescheduling
Sessions cancelled more than 48 hours in advance are not charged. The Client and Care Professional may reschedule any Session by mutual agreement at no cost. Rescheduled Sessions are not cancellations and do not count toward either party’s cancellation limits.
If the Client cancels three or more Sessions without rescheduling, the Care Professional may terminate the Care Agreement. Late Cancellations do not count toward this limit. Upon termination, the Retainer covers the value of all undelivered sessions, including the three cancelled sessions, and the remainder is returned to the Client.
8.6 Late Cancellations
A Late Cancellation is any Client cancellation or no-show within 48 hours of a scheduled Session. Late Cancellations are charged at the full Session rate from the first occurrence and do not count toward the session cancellation limit in Section 8.5.
8.7 Care Professional Session Cancellations
If a Care Professional cancels or fails to appear, the Client is not charged and the Care Professional is not compensated for that Session. The parties may reschedule by mutual agreement at no cost to the Client.
If a Care Professional cancels two or more Sessions within any 30-day period, the Client’s right to terminate the Care Agreement is unlocked. The Client may exercise this right at any time thereafter by notifying Boram Care. Upon termination, the Retainer is returned to the Client less any amounts due for Sessions already delivered. The Client is not required to terminate and may choose to continue the contract.
8.8 Termination for Cause
Boram Care or the Care Professional may terminate a Care Agreement immediately if the Client engages in abusive, threatening, or harassing conduct toward the Care Professional or any household member; creates unsafe working conditions; requests services outside the scope of the Care Agreement; provides false or misleading information material to the engagement; fails to maintain a valid payment method; or violates applicable law.
Upon termination for cause attributable to the Client, the Care Professional may retain the Retainer in whole or in part. Boram Care will review and determine the appropriate outcome.
Boram Care or the Client may terminate a Care Agreement immediately if the Care Professional engages in abusive, threatening, or harassing conduct toward the Client or any household member; arrives impaired or otherwise unfit to provide care; misrepresents credentials, experience, or identity; violates the Client’s household rules or privacy; breaches confidentiality obligations; provides care outside their professional scope; or violates applicable law or Boram Care’s health and safety requirements.
Upon termination for cause attributable to the Care Professional, the Retainer is returned to the Client less any amounts due for Sessions already delivered. The Care Professional’s platform access is suspended pending review. The Client retains the right to leave a platform review.
8.9 Force Majeure
If a Session cannot occur due to circumstances beyond either party’s reasonable control — including severe weather, natural disaster, power outage, public health emergency, or government-mandated restriction — the Session will be rescheduled by mutual agreement at no cost. Such events do not count toward either party’s cancellation limits and do not trigger any financial consequence. If rescheduling is not possible within the contract period, the Session is treated as undelivered with no amount drawn from the Retainer.
9. Payments
9.1 Platform Processing Fee
Boram Care charges a 5% platform processing fee on each payment.
9.2 Payment Schedule
Sessions are billed weekly for services completed in the prior week, charged automatically to the payment method on file.
9.3 Deposit and Retainer
A $250 Deposit is due before matching begins and is applied toward the Retainer upon signing. At signing, a Retainer equal to 20% of the estimated contract value — less the $250 Deposit — is due. If 20% falls below $250, the Deposit serves as the Retainer and nothing additional is due. The Retainer secures the Care Professional’s availability and is returned in full upon successful completion.
9.4 Payment Method
You agree to maintain a valid payment method on file at all times during an active engagement. If a payment fails, Boram Care will notify you and allow 5 days to resolve before suspending access or taking further action.
9.5 Session Disputes
If you wish to dispute a Session charge, notify Boram Care in writing within 7 days of the charge. Boram Care will investigate and respond within 10 business days.
10. Mandatory Reporting
Care Professionals may be designated mandatory reporters under applicable state law, with independent legal obligations to report suspected abuse or neglect of a child or vulnerable adult. These obligations are personal to the Care Professional and exist independently of Boram Care. Boram Care does not assume any mandatory reporting obligation on behalf of Care Professionals or Clients and is not responsible for a Care Professional’s compliance or non-compliance with such obligations.
By using the Platform, you acknowledge that your Care Professional may have reporting obligations that could require disclosure of information shared in the course of services, and that such disclosure would not constitute a breach of confidentiality under these Terms.
11. Client Conduct
You agree to provide a safe and respectful environment for the Care Professional, share relevant care preferences before services begin, refrain from requesting services outside the scope of the Care Agreement, and treat Care Professionals with dignity at all times. You agree to keep confidential any information about your Care Professional shared through the Platform or in the course of services, subject to Section 10, and not to disclose it without their consent except as required by law. Any feedback you submit must be honest, accurate, and non-defamatory. Boram Care may suspend or terminate your account for abusive, harassing, unsafe, or dishonest conduct and reserves the right to remove reviews that violate these standards.
12. Non-Circumvention
Boram Care invests significant resources in sourcing, screening, and matching Care Professionals. To protect that investment, for six (6) months following the conclusion of your last Session with a given Care Professional facilitated through the Platform, you agree not to directly engage or contract with that Care Professional for the same or substantially similar services outside the Boram Care platform without Boram Care’s prior written consent.
This provision applies only to Care Professionals with whom you were connected through Boram Care and does not restrict your ability to independently engage care professionals you found through other channels.
If you engage a Boram Care Care Professional outside the Platform in violation of this Section, you agree to pay Boram Care liquidated damages equal to 25% of the estimated value of that engagement over its first six (6) months. The parties acknowledge this is a reasonable estimate of harm and not a penalty.
13. Limitation of Liability
The Platform is provided “as is.” To the fullest extent permitted by law, Boram Care is not liable for the acts or omissions of any Care Professional, any injury or loss arising from care services, platform outages, force majeure events, or your inability to secure a match. Boram Care’s total liability shall not exceed the platform processing fees you paid in the three months preceding the claim.
14. Indemnification
You agree to indemnify and hold harmless Boram Care and its officers, directors, employees, and agents from any claims arising from your use of the Platform, breach of these Terms or any Care Agreement, conduct toward a Care Professional, or violation of applicable law — except claims arising from Boram Care’s own gross negligence or willful misconduct.
15. Modifications
Boram Care may update these Terms with at least 14 days’ notice via email or platform notification. Continued use after the effective date constitutes acceptance.
16. Termination
You may close your account at any time provided there are no active Care Agreements, outstanding balances, or Retainers held in connection with your account. Boram Care may suspend or terminate your account immediately for material breach, abusive or unsafe conduct, false information, unresolved payment failure, or violation of applicable law. Outstanding Session charges, confidentiality, indemnification, and dispute resolution obligations survive termination.
17. Dispute Resolution
Before any formal proceeding, you agree to contact Boram Care in writing and allow 30 days for good faith resolution. If unresolved, the parties will attempt non-binding mediation before proceeding to binding arbitration under AAA rules in New York, New York. All disputes are resolved on an individual basis; class actions are waived.
18. Governing Law
These Terms are governed by the laws of the State of New York.
19. Miscellaneous
If any provision is found unenforceable, the remainder continues in full force. These Terms, together with any Care Agreement and the Privacy Policy, constitute the entire agreement between you and Boram Care and supersede all prior discussions. Boram Care’s failure to enforce any provision is not a waiver of its right to do so in the future. Notices may be sent by email to your registered account address or to Boram Care’s designated contact.
By clicking “I Agree,” creating an account, or using the Platform, you confirm that you have read, understood, and agree to these Terms, including the cancellation policy in Section 8 and the non-circumvention obligation in Section 12. You acknowledge that Care Professionals are independent contractors who set their own rates, determine their own methods of care, and are free to work with other clients and platforms; that Boram Care is not their employer and does not direct or supervise their services; that the Platform is not a HIPAA-covered service; and that Care Professionals may have independent mandatory reporting obligations under applicable law.
